Volunteer: Board Governance & Operations Toolkit

The Professional Cheerleaders Foundation (PCF) is a national 501(c)(3) nonprofit bringing together current and former professional cheerleaders, dancers, coaches, and choreographers through philanthropy, community service, and sisterhood. We recently rebranded our organization and are preparing to expand our membership, charitable programs, and local chapters nationwide. Our organization has an established five-member Board of Directors, bylaws, and monthly Board meetings. However, as we grow, we want to strengthen our governance practices, clarify Board responsibilities, and establish consistent procedures for oversight, accountability, and decision-making. We are seeking an experienced nonprofit governance professional to review our existing framework and help us develop practical, easy-to-maintain Board operating procedures appropriate for a growing, volunteer-led nonprofit.

By the end of this project, we would like a practical Board Governance & Operations Toolkit that supports PCF's long-term growth and accountability. The consultant will: Review our existing bylaws, Board structure, and governance procedures and identify recommended improvements. Develop a Board Member Roles & Responsibilities Guide, including expectations for officers and directors. Create a Board Meeting Procedures Guide covering agendas, minutes, motions, voting, and recordkeeping. Develop an annual Board Governance Calendar identifying recurring meetings, policy reviews, and organizational oversight responsibilities. Recommend an appropriate committee structure for areas such as membership, chapters, charitable programs, fundraising, and finance. Review our existing conflict-of-interest and related governance policies and recommend updates where appropriate. Create a simple Board onboarding checklist and orientation packet outline for future directors. Success means PCF has a consistent, well-organized governance framework that helps its volunteer Board operate efficiently, fulfill its oversight responsibilities, and support national expansion. PCF will provide its bylaws, existing policies, Board meeting materials, and organizational information. Any matters requiring legal interpretation or formal legal advice will be referred to qualified counsel.
